Chalanas shall notify you in writing of any suits, claims or demands covered by this indemnity promptly after receipt of such notice, you shall assume the defence of such claim with counsel satisfactory to the Chalanas. If you fail, within the specified time after receipt of such notice, to assume the defence with counsel reasonably satisfactory to Chalanas, or if, in the reasonable judgment of the Chalanas, a direct or indirect conflict of interest exists between Chalanas and other parties with respect to the claim, or if in the sole judgment of Chalanas the assumption and conduct of the defence by you would materially and adversely affect Chalanas in any manner or prejudice its ability to conduct a successful defence, then Chalanas shall have the right to undertake the defence, compromise and settlement of such claim for the account and at expenses to be borne by you completely.
Notwithstanding the above, if Chalanas in its sole discretion so elects, Chalanas may also participate in the defence of such actions by employing counsel at the expense of you, without waiving your obligations to indemnify or defend. You shall not settle or compromise any claim or consent to the entry of any judgement without the prior written consent of Chalanas and without an unconditional release of all liability by each and all claimants or plaintiffs to Chalanas.
Governing Law and Jurisdiction
Any dispute, controversy, or claim related to terms mentioned herein or related otherwise shall be presented in English and will be held in Courts of Gurugram, Haryana under the rules and laws of the Indian Government in effect from time to time.
Warranties-
You shall to the fullest extent permitted by law and Chalanas, all the parties, staff and people under its ownership, affiliation, control, supervision, association or relationship disclaim any and all warranties, expressed, implied, statutory or otherwise and agree to not make any warranties, representations guarantees, merchantability, fitness of particular or varied purposed in connection with Chalanas or its sites and businesses.
Waiver-
